1. Introduction and Acceptance
Agreement Overview
This page contains the Terms of Use Agreement (the “Agreement”) for the Mixing Board Powered By Axios service (the “Service”). This is a legally binding agreement between you (“you,” the “User”, “Subscriber” or “Member”) and Mixing Board, a division of Axios HQ Inc. ("Mixing Board," "us," or "we"). It governs your use of the Service, as well as any other product or service which incorporates this Agreement by reference.
Why it matters: By using the Service, you are agreeing to be legally bound by the terms of this Agreement.
Be smart: This Agreement contains important legal and financial terms, and you should review it carefully before completing your registration.
- This Agreement incorporates our Privacy Policy, which describes how we handle the data we collect about you.
- This Agreement includes our Acceptable Use Policy for the Slack “Community” feature.
- This Agreement explains how you will be charged for the Service, how you can access support, and how you can cancel the Service.
- THIS AGREEMENT CONTAINS A DISPUTE RESOLUTION PROCESS that establishes rules for how we will handle any dispute that may arise between us. THE DISPUTE RESOLUTION PROCESS INCLUDES A CLASS ACTION WAIVER AND ARBITRATION AGREEMENT, which limit your ability to bring a claim against Mixing Board in front of a judge and jury. You should read it carefully.
- We can change the terms of this Agreement from time to time, and your continued use of the Service indicates your acceptance of the changes.
- This Agreement is non-negotiable. If you don't agree with any part of this Agreement, your only option is to not use our Service.
The bottom line: THIS IS A LEGAL AGREEMENT THAT IMPACTS YOUR LEGAL RIGHTS. YOU SHOULD READ IT CAREFULLY BEFORE USING OUR SERVICE AND REVIEW IT REGULARLY FOR CHANGES. DO NOT USE OUR SERVICE IF YOU DISAGREE WITH THESE TERMS.
Additional Terms for New Features
If Mixing Board releases new features or elements of the Service (“New Features”), additional terms may apply. Any such additional terms will be provided at the New Feature’s point of access or use, and your access and use of the New Features represents your agreement to the additional terms presented there.
Axios-Licensed Service Elements
Your subscription includes access to certain elements provided by Axios Media Inc. (“Axios”) under the terms of a licensing agreement between Axios and Mixing Board. When you access elements of the Services hosted on Axios.com, including event registration pages or paywalled Axios.com content, that activity will be governed by the Axios Media Inc. Terms of Use, including the terms for Axios Live and Virtual Events and the Axios Privacy Policy available at www.axios.com/legal (the “Axios Terms”).
If there is a conflict in the terms of this Agreement and the Axios Terms, the Axios terms will control only as it relates to actions you take on Axios.com or while engaging directly with other Axios services.
Acceptance
By using the Service, you agree to be bound by the terms of this Agreement. You warrant that you are at least 18 years old (or the age of majority where you reside) and able to enter into a legally binding agreement in order to use our Service. You understand and accept that this Agreement incorporates additional terms by reference, including the Mixing Board powered by Axios Privacy Policy.
Updates
We reserve the right to modify, revise or update this Agreement from time to time, without prior notice, by posting an updated version on the website and updating the “Last Updated” above. By continuing to access and use the Services, you are agreeing to the terms of the updated Agreement.
2. The Service
Service Overview
Service Features. The Mixing Board powered by Axios Service is a subscription-based informational, educational, and community networking service for communications professionals. By subscribing to the Service, you will receive a number of benefits, which may include:
- Editorial newsletters powered by Axios Media Inc., such as Weekly Watchlist and Monthly Moves Job Reports
- Access to select elements of paywalled content on Axios.com
- Mixing Board’s Slack-based networking community for communications professionals
- Learning and development offerings, including training and AMAs, as offered by us from time-to-time
- Access to a member directory of participating members
- Discounted tickets to select Axios Live events such as Communicators Live
- Other features, elements and benefits introduced by Mixing Board as part of the Service from time-to-time
Modifications. We reserve the right to modify or discontinue any benefit or component of the Service at any time at our sole discretion and without prior notice. However, if a modification materially reduces your benefits as a subscriber (as reasonably determined by Mixing Board), we will provide you with a refund proportional to the reduction in benefits, pro-rated for the remainder of your subscription term.
Ownership of the Service; License to Use the Service
Mixing Board Property. Mixing Board and its licensors (including Axios Media Inc.) reserve all rights in and to all intellectual property embodied in or related to the Service, including the newsletters, Slack Community (excluding your “User Content” as defined below), learning and development materials, events materials, and other content of the Service (The “MB Property”).
Your License to Use. Subject to the terms of this Agreement, we grant you permission to access and use the Service and associated MB Property during your subscription term for your personal and non-commercial use only. You may access the Service on your personal devices and share MB Property using the Service's sharing features, so long as your use is appropriate, not misleading, and does not violate the Agreement, including the use restrictions in Section 3 below.
Your Feedback. If you voluntarily offer feedback about the Service, including thoughts about the Service or suggestions for how to improve it, you grant us a perpetual, irrevocable, worldwide, non-exclusive, royalty-free license to use, copy, modify, create derivative works from, and otherwise exploit the Feedback for any purpose, without any obligation or compensation to you. You understand that we may use the Feedback to improve our products and services or develop new ones, and we own all rights in any resulting developments.
3. Service Use Restrictions
By accessing the Service, you agree to comply with the following restrictions. Any violation is a material breach of this Agreement and may result in immediate termination of access without refund. Violations may also lead to civil, criminal, or administrative penalties for you and others involved.
Account and Access Restrictions
DO NOT:
- Share login information with others
- Register using a listserv or group email that redirects to multiple individuals
- Create multiple accounts for fraudulent, deceptive, or harassing purposes
- Attempt to access or use the Service after your account has been suspended or revoked
MB Property/Content Distribution Restrictions
DO NOT:
- Forward newsletter content to non-subscribers, whether manually or through auto-forwarding
- Post Service content on public websites or private intranets
- Frame, embed, or otherwise display any portion of the Service or MB Property/content within other websites
- Publish, share, or distribute the content/MB Property except as expressly permitted by Mixing Board
Commercial and Competitive Restrictions
DO NOT:
- Commercially exploit the Service, including acting as a reseller, distributor, agent, or service bureau, Use Mixing Board or Axios trademarks in meta tags, keywords, or other unauthorized ways
- Copy, modify, republish, sell, display, create derivative works from, or otherwise exploit the Service or MB Property/content beyond what is expressly permitted
- Attempt to extract commercially valuable information from the services (including data, L&D materials or community member contact information) for the development or marketing of unrelated products or services
- Attempt to the Service to benchmark, develop or market your own products or services, including AI tools
Technical and Security Restrictions
DO NOT:
- Use automated tools (robots, spiders, scripts, or other software) to scrape data, create multiple subscriptions, inflate impressions, or interfere with the Service
- Circumvent or interfere with security measures, including through reverse engineering, decryption, or disabling features
- Take actions that overload or disrupt systems or networks, including denial-of-service attacks
- Use the Service or MB Property to develop or train software, machine learning models, LLMs, or AI systems without a separate license agreement
Harmful and Illegal Activities
DO NOT:
- Use the Service in violation of law or in connection with any illegal activity
- Use the Service to harm (or attempt to harm) the systems or employees of Mixing Board, Axios HQ Inc., Axios Media Inc., or any third party (including other users of the Service), whether through spam, harassment, or malicious content or otherwise
- Violate any other Acceptable Use Policies included in or later adopted under this Agreement
4. Subscriptions, Payment Terms, Cancellations
Your Account
Accounts. To access the Service, you will need to create an account (your “Account”). The information used to create your Account must be accurate. You may not create an Account on behalf of a third-party without their express consent to do so, and the authority to bind them to this Agreement. You should keep your Account information up to date so that you can receive all of the Service benefits and so that we can reach you if needed. You are responsible for keeping your Account login and password secret and secure. You should notify us immediately at hello@mixingboard.coif you think your account has been compromised.
Subscriptions Non-Transferrable. Subscriptions cannot be transferred to a third-party. You can, however, update the email address associated with your subscription by reaching out to us at hello@mixingboard.co. Please allow three to five business days for updates to take effect.
Fees; Payments
Initial Fee. Axios Powered by Mixing Board is a subscription service that is invoiced annually. The Fees for the first year of your Service subscription, including any applicable taxes, will be disclosed on the sign-up page when you purchase your subscription (the “Fees”). Your subscription will officially begin on the date your credit card is charged and continue for one (1) year. Thereafter, your subscription will automatically renew each year on the same date until it is canceled.
Payment Authorization. By subscribing and providing your credit card or debit card information (“Payment Method”), you authorize us to charge your Payment Method for the Fees, and you agree to accept an electronic record of a receipt. By providing your Payment Method, you agree that certain credit card, debit card and billing information may be shared with our payment processors and other necessary service providers. Our current payment processor is Stripe, but we reserve the right to change our payment processor at any time without notice to you. Payment information may be stored by our Payment Processor and related service providers in order to service your Account and process automatic renewals.
Automatic Renewals. Your subscription will automatically renew until it is cancelled. We will send a notice about your upcoming renewal to the email associated with your account 30 days in advance, which will include the date of your renewal, the renewal price, the Payment Method to be charged, and your cancellation options. We reserve the right to change our Fees at each renewal term, but we will include notice of any price changes in your upcoming renewal notice. Renewal Fees will be processed to your Payment Method on file. To avoid automatic renewal, you must cancel your subscription prior to the renewal date.
Promotional Pricing. We may occasionally (in our discretion) offer promotional pricing and/or discount codes (“Promotions”). The specific terms of each Promotion will be stated at the time the Promotion is offered. Each Promotion may be different. Promotions cannot be combined. We reserve the right to change or cancel any Promotion at any time. If your initial subscription is purchased using a Promotion, it will renew at the then-current standard price. This information will be included in your upcoming renewal notice.
Free Trials. If we elect (in our discretion) to offer you a free trial subscription to the Service, you may still be required to provide your Payment Method at the time you sign up for the trial. Unless otherwise stated at sign-up, your trial subscription will automatically convert to a paid subscription at the end of the Trial Period, and your Payment Method will be charged the Fees specified during the trial sign-up process. We will use our best efforts to notify you by email when you near the end of your trial period. To avoid being charged, you must cancel your trial subscription before the end of the trial period. You may cancel your subscription at any time during the trial period by emailing hello@mixingboard.co.
Cancellation and Termination
Your Cancellation Options. You can cancel your subscription at any time by emailing hello@mixingboard.co or directly through our billing portal. Your cancellation will take effect at the end of your current twelve-month subscription period. Unless you expressly request that we immediately delete your account, you will continue to have access to Service until the cancellation takes effect. We do not provide refunds for cancellations mid-subscription period. Should we choose, in our discretion, to issue a refund or credit in any instance, we are under no obligation to issue a similar refund or credit in the future.
Termination by Mixing Board. Mixing Board reserves the right to terminate this Agreement and cancel your subscription immediately and without prior notice if we reasonably determine that you have materially breached any of the terms of this Agreement. If we terminate this Agreement because you breach its terms, you will not be entitled to any refund of Fees. We further reserve the right to terminate this Agreement without cause and “for convenience” at any time upon written notice to you by email. If we terminate this Agreement without cause and “for convenience,” we will provide you with a refund of your Fees, prorated to the date when your access to the Service ends.
5. Slack Community Feature & Acceptable Use Policies
A core member of the Service is Mixing Board's community Slack feature (the “Community”). The Community exists as a space for networking, knowledge sharing, and learning and development (the “Community Purpose”). All users who leverage the Community feature may do so solely for the Community Purpose, and must comply with the terms of this Section 5 (the “Acceptable Use Policies”) in addition to the other terms of this Agreement.
Community Code of Conduct
You must maintain professional standards and respectful communication when participating in the Community, and may not engage in harassment, spamming, or other behavior that is disruptive to the Community and its members.
This includes:
- Sending excessive or unreasonable unsolicited communications to any subscriber/community member
- Engaging in any kind of harassment towards another subscriber/community member
- Misrepresenting yourself or impersonating any person or entity
- Violating any third-party’s privacy, including sharing their personal information without their consent
- Attempting to disrupt or interfere with the Community’s availability or other users' access or use of the Community
- Engaging in coordinated inauthentic behavior to manipulate responses
- Excessively promoting your professional services or the services of your company or employer
- Using the Service to build your own “marketing list” for unrelated products or services
- Extracting information or data from the Service (including Community content or Community member contact information) for purposes other than the Community Purpose
User Content Guidelines
The content and materials you upload, share, distribute or otherwise contribute to the Community (your “User Content”) should be relevant to the Community Purpose.
You understand and agree that you are not allowed to contribute any User Content that is infringing, illegal, or that would be considered highly offensive or extremely inappropriate to other Community members.
This includes:
- Unlicensed or unauthorized third-party content, such as materials that infringe upon a third-party’s intellectual property or which that violate any obligation of confidentiality you may hold to such third-party
- Materials advocating hate or discrimination against individuals, groups or classes of individuals
- Deepfakes or manipulated content presented as authentic, and other forms of deceptive content
- Content advocating violent causes, terrorism, or extremism
- Material promoting illegal drugs, criminal activity, or unlawful conduct
- Materials containing viruses, trojan horses, or other malicious code
User Content Visibility
When you contribute your User Content to the Community, it will be viewable to all other members of the Community who have access to the channel(s) in which it was shared.
You should not expect that the User Content you contribute to the Community will be treated as confidential or anonymous. You should not share User Content in the Community that you don’t have the necessary rights and permissions to share, or that you would not want to be re-associated with you as the poster.
Ownership of User Content
Ownership. You remain the owner or licensor of any User Content you submit to the Community. You warrant that you have all necessary rights, licenses, and permissions required to contribute to the Mixing Board Community and to allow the Mixing Board to use it in the Service.
License to Mixing Board. By submitting User Content to the Community, you hereby grant Mixing Board a worldwide, non-exclusive, perpetual, royalty-free, fully paid, sublicensable and transferable license to use, edit, modify, truncate, aggregate, reproduce, distribute, prepare derivative works of, display, perform, and otherwise fully exploit the User Content, both during and after your subscription term, solely in connection with the delivery, support, improvement and marketing of the Service.
Monitoring & Enforcement
Monitoring. Mixing Board reserves the right, in its discretion, to monitor the Community and all User Content to ensure compliance with the Acceptable Use Policies, the Agreement, and applicable law. The foregoing does not create an affirmative obligation for the Mixing Board to monitor all User Content submitted to the Community.
Removal of User Content. Mixing Board may (but is not required to) remove User Content from the Community if we believe (in our sole discretion) that the User Content violates the Acceptable Use Policies or could otherwise be harmful to Mixing Board, or staff, the Community members, or any third party.
Notice of Infringement. If you believe that Mixing Board or a fellow Community member has infringed upon your intellectual property rights, you may send a takedown request hello@mixingboard.com. We will promptly investigate and take any corrective action we deem reasonable and necessary.
Other Enforcement Rights. If we determine, in our reasonable discretion, that you have violated the Acceptable Use Policies, we reserve the right to ban you from using the Community, temporarily or permanently and without prior notice, or to terminate your Agreement entirely for cause. If you lose access to the Services or the Community because of a violation of these Terms of Use (including the Acceptable Use Policy), you will not be entitled to any refund for such loss of access.
Certain Disclaimers
No Liability for User Content. Mixing Board does not have control over the quality, accuracy, completeness, veracity or legality of User Content. You understand and agree that the Mixing Board has no responsibility and assumes no liability for any User Content posted on the Community (whether by you or other Community users).
Reporting Concerns. If you have a concern about any User Content shared in the Community, or the actions of a fellow Community member, please notify hello@mixingboard.com. Please note that Mixing Board is not required to take down User Content even if notified of a potential concern, and that any failure or refusal to remove such User Content will not create any duty of care or any liability on the part of Mixing Board.
6. Events and Programming
Events and Programming Opportunities
Mixing Board Events and Experiences. As part of the Service, Mixing Board may offer various types of events and educational programming (collectively “MB Programming”), including but not limited to:
- Virtual Events: Online webinars, training sessions, AMAs (Ask Me Anything), and educational workshops
- Live Events: In-person meetups, networking events, and professional development sessions
- Hybrid Events: Events combining both virtual and in-person components
- Recorded Content: Access to recordings of past events and educational materials
Axios LIVE Events. Your subscription may include access to certain events at no additional charge, discounted access or priority registration for limited-capacity events, including Axios Media live events, such as Axios Communications (“Axios Events”). All registration for Axios Events are subject to Axios Media Inc.’s terms of use and privacy policy.
Additional Event-Specific Terms. Some Axios Events and MB Programming may be subject to additional terms and conditions, which will be provided at the time of registration or access. Such additional terms are incorporated into this Agreement and must be accepted to participate in the applicable event.
Registration and Participation
Registration Requirements. Some MB Programming may require advance registration. Registration does not guarantee attendance, as some MB Programming may have capacity limitations. We reserve the right to cancel, reschedule, or modify any MB Programming at our sole discretion. We will notify you as soon as possible of any cancellation or rescheduling using either email or the Community feature.
Technical Requirements. For virtual MB Programming, you are responsible for ensuring you have adequate internet connectivity, compatible devices, and any required software or applications. We are not responsible for any technical difficulties that prevent your participation, including those related to failures by our service providers (like, for example, the webinar platform we use).
Professional Conduct. All participants must maintain professional standards during MB Programming. This includes appropriate communication, respectful interaction with other participants and speakers, and compliance with any event-specific guidelines provided.
Programming Content and Recording
Proprietary Content. All MB programming content, including presentations, materials, recordings, and speaker content, constitutes proprietary MB Property and is subject to the same use restrictions outlined in Section 3 of this Agreement. All Axios Event content is owned by Axios and is subject to the Axios terms of use.
Recording and Distribution. Programming may be recorded for later distribution to subscribers or for other Mixing Board business purposes (including marketing the Service). By participating in any Programming, you consent to being recorded and acknowledge that your participation (including your name, voice, and image) may be included in such recordings.
No Redistribution. You may not record, screenshot, or otherwise capture MB Programming or Axios Event content without express written permission. You may not redistribute, share, or make available any MB Programming or Axios Event content, recordings, or materials except as expressly authorized by Mixing Board or Axios Media Inc., respectively.
Content Disclaimers. MB Programming may feature guest speakers or third-party content providers. Mixing Board is not responsible for the accuracy, completeness, or quality of third-party content. Any opinions expressed by guest speakers are their own and do not necessarily reflect the views of Mixing Board, Axios HQ Inc., or Axios Media Inc.
Event Conflicts and Cancellations
Cancellation by Mixing Board. We reserve the right to cancel or reschedule any MB Programming due to insufficient registration, speaker availability, technical issues, or other circumstances beyond our reasonable control. We will use reasonable efforts to notify you of any cancellation or rescheduling of MB Programming by email or through the Community feature. If you were required to pay a special, separate fee to register for the cancelled/rescheduled MB Programming, you will be offered a refund or credit towards another MB Programming.
Conflicts or Cancellation by You. Your inability to attend any MB Programming due to your scheduling conflicts or other circumstances not within Mixing Board’s control does not entitle you to any refund, credit or offset of your subscription fees.
7. Disclaimers; Limitations of Liability; Indemnity
Service Disclaimers
AS-IS Service. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OR GUARANTEES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE EXPRESSLY DISCLAIM ANY WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, WILL BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS, OR WILL BE ACCURATE, RELIABLE, FREE OF VIRUSES OR OTHER HARMFUL CODE, COMPLETE, LEGAL, OR SAFE.
Content Disclaimers. The Mixing Board Content included in the Service is for informational purposes only and is not a substitute for professional legal, financial, tax, or medical advice. We will have no liability for decisions you make based on our content. The information provided through the Service is for general informational purposes only and should not be relied upon as professional advice.
No Liability for User Actions. If you choose to engage with any other Service subscriber (electronically or in person), you are solely responsible and liable for such interactions. Please understand that there are risks that may arise when dealing with strangers online and in-person, including but not limited to the risk of identity theft or physical harm. You should always use caution when you elect to share information with others, or when you agree to meet in person with someone who you first encounter through the Service. You hereby waive any claims which you may have now or in the future against Mixing Board, Axios HQ Inc. and Axios Media Inc. arising out of or in connection with your interactions with other Service users.
Limitation of Liability
TO THE GREATEST EXTENT PERMITTED BY LAW, MIXING BOARD WILL NOT BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES. This includes damages for lost profits, lost revenue, loss of data, business interruption, or other commercial damages or losses, even if we have been advised of the possibility of such damages. TO THE GREATEST EXTENT PERMITTED BY LAW, MIXING BOARD’S MAXIMUM AGGREGATE LIABILITY TO YOU WILL NOT EXCEED THE AMOUNTS YOU PAID TO US IN FEES DURING THE 12 MONTHS PRECEDING THE CLAIM.
Third-Party Releases
You agree that all claims arising from or related to the Service will be brought against Axios HQ Inc. and you fully release and waive claims against all of Axios HQ’s vendors and licensors that relate to the Service, including Slack Technologies (and its parent companies and affiliates) and Axios Media Inc. (and its parent companies and affiliates).
Indemnification
You hereby agree to indemnify, defend and hold harmless Axios HQ Inc., its affiliates, and all of their respective officers, directors, owners, employees, agents, licensors (including Axios Media Inc.) and licensees (each an “Indemnified Party”) from and against any and all liability and costs (including, but not limited to, court costs and reasonable attorneys' fees) an Indemnified Party incurs in connection with any claim, legal action or demand arising out of: (1) your breach of this Agreement, or (2) your gross negligence or willful misconduct in connection with the Services. Mixing Board will use reasonable efforts to notify you of any such claim. The Indemnified Party reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you (or to assign such defense and control to another Indemnified Party). You must fully cooperate in the Indemnified Party’s defense of any such claim and must not take any action that would compromise that defense.
8. Dispute Resolution and Arbitration Agreement
THIS SECTION EXPLAINS HOW YOU AND MIXING BOARD AGREE TO HANDLE DISAGREEMENTS ("DISPUTES"). IT INCLUDES AN ARBITRATION AGREEMENT THAT LIMITS YOUR RIGHT TO SUE IN COURT OR HAVE A JURY TRIAL. PLEASE REVIEW THIS SECTION CAREFULLY.
Informal Dispute Resolution
We want to resolve problems quickly and fairly before they become formal legal disputes. If you have an issue or dispute related to the Service, you agree to email us at legal@axioshq.com with your name, contact info, what the issue is, and how you'd like it resolved prior to filing any formal complaint or demand. Both sides agree to try in good faith to resolve the problem for at least 30 days before filing a formal claim.
Binding Arbitration
If we can't resolve a dispute through informal negotiations, any dispute or claim relating to the Service will be resolved by binding arbitration rather than in court. The arbitration will be conducted by one (1) arbitrator in accordance JAMS (Judicial Arbitration and Mediation Services) under their Streamlined Arbitration Rules for disputes under $250,000, or their Comprehensive Arbitration Rules for larger disputes. The arbitration will be conducted by web conference or in person in Arlington, Virginia.
The following disputes are not subject to arbitration: claims involving intellectual property rights, (b) claims eligible to be brought in small claims court; or (c) claims related to your material violation of the Use Restrictions in Section 3 (collectively, the “Excluded Claims”).
Waiver of Jury Trial
THIS AGREEMENT TO ARBITRATION MEANS THAT FOR ALL CLAIMS (EXCEPT THE EXCLUDED CLAIMS BELOW), YOU AND MIXING BOARD ARE GIVING UP ALL RIGHTS TO FILE A LAWSUIT IN COURT AND TO A JURY TRIAL. INSTEAD, WE WILL HAVE A HEARING BEFORE A NEUTRAL ARBITRATOR. IN ARBITRATION, THERE IS NO JUDGE OR JURY AND THERE IS LESS DISCOVERY AND APPELLATE REVIEW THAN IN COURT.
IF FOR ANY REASON A CLAIM IS PERMITTED TO PROCEED IN COURT RATHER THAN IN ARBITRATION, YOU AND MIXING BOARD AGREE TO WAIVE ANY RIGHT TO A JURY TRIAL. ANY SUCH CLAIM WILL BE HEARD BY THE STATE OR FEDERAL COURTS OF COMPETENT JURISDICTION LOCATED IN ARLINGTON VIRGINIA.
Class Action Waiver
YOU UNDERSTAND AND AGREE THAT YOU MAY BRING CLAIMS (INCLUDING ANY EXCLUDED CLAIMS) AGAINST THE OTHER PARTY RELATING TO THE SERVICES OR THIS AGREEMENT ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING, INCLUDING, WITHOUT LIMITATION, A FEDERAL OR STATE CLASS ACTION LAWSUIT OR A CLASS ARBITRATION.
If a court decides that applicable law precludes enforcement of the preceding paragraph for elements of a claim, then such elements of the Claim may proceed in the state or federal courts located in Arlington, Virginia only after all other elements of the claim and requests for remedy are arbitrated.
9. Miscellaneous
Data Privacy
Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated by reference into this Agreement. By using the Service, you consent to our data practices as described in the Privacy Policy.
U.S.-Based Services
Mixing Board operates from the United States. We don't guarantee that our services are available or compliant with laws outside the U.S. You agree not to export or use our services in violation of U.S. export laws. If you access the Service from outside the United States, you do so at your own risk and are responsible for compliance with local laws.
Electronic Communications
You agree to receive all notices, agreements, and other communications from Mixing Board electronically (for example, by email or through the Service). These electronic communications have the same legal effect as paper documents. You waive any right to receive communications in non-electronic form.
Governing Law
This Agreement is governed by Virginia law, except that federal arbitration law applies to the arbitration provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement.

To Mixing Board: If you need to contact us about legal matters, our notice for address is: Axios HQ Inc., Attention: Legal Department, PO Box 101060 Arlington, VA 22201. You should also send a copy to legal@axioshq.com.
To You: Our notices to you will be made electronically via email to address associated with your Account and are deemed delivered twenty-four hours after being sent.
General Terms
These Terms, along with any referenced policies (including our Privacy Policy and Acceptable Use Policy), make up the entire agreement between you and Mixing Board regarding the Service. This Agreement supersedes any prior agreements or understandings. If any part of this Agreement is found invalid or unenforceable, the rest still applies. You can't transfer this Agreement to anyone else without our written consent. We may assign this Agreement to others at any time. Axios Media Inc. is considered the sole third-party beneficiary of this Agreement and is entitled to enforce it directly. The failure of Mixing Board or Axios Media Inc. to enforce any right or provision doesn't constitute a waiver of that right or provision. These Terms operate to the fullest extent permissible by law. Any provision of this Agreement which is intended to survive termination or expiration hereof, including without limitation Section 6 (Disclaimers; Limitations of Liability; Indemnity), 7 (Dispute Resolution and Arbitration Agreement), and 8 (Miscellaneous), shall so survive.
